1. Acceptance of Terms
By accessing or using CoBuilder ("Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. These Terms constitute a legally binding agreement between you ("User," "you") and First Strategy, LLC, a Colorado limited liability company ("Company," "we," "us"). If you do not agree to these Terms, do not access or use the Service.
By creating an account or using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
CoBuilder is an AI-powered workspace application that provides autonomous task execution, document creation, and professional tools for non-developers. The Service uses artificial intelligence models from third-party providers to generate content, execute tasks, and assist users with professional work.
The Service is currently in beta. Features, pricing, and availability may change without notice during the beta period.
3. Account Registration and Security
To use the Service, you must create an account through our authentication provider. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized access to your account
- Accept responsibility for all activity that occurs under your account
You may not share your account credentials, create multiple accounts for the purpose of circumventing usage limits, or use another person's account without permission.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Generate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
- Attempt to reverse-engineer, decompile, or extract the source code of the Service
- Circumvent usage limits, rate limiting, or access controls
- Interfere with or disrupt the Service or servers connected to the Service
- Use automated means to access the Service except through our published APIs
- Transmit malware, viruses, or other harmful code
- Impersonate any person or entity
- Use the Service to build a competing product
We reserve the right to suspend or terminate your access for violation of this section.
5. AI-Generated Content
5.1 Ownership. You retain all rights to the content you submit to the Service ("Inputs"). To the extent permitted by applicable law, you own the content generated by the Service in response to your Inputs ("Outputs"). We claim no ownership interest in your Inputs or Outputs.
5.2 License to Operate. You grant us a limited, non-exclusive license to process your Inputs solely for the purpose of providing the Service to you. This license terminates when you delete your content or close your account.
5.3 No Training on Your Data. Under our agreements with our AI providers, your Inputs and Outputs are not used to train their models. Anthropic's commercial terms prohibit training on customer content. OpenAI does not train on API data by default, and we have not opted in to data sharing.
5.4 No Guarantees. AI-generated content is provided "as-is." The Service does not guarantee the accuracy, completeness, legality, or fitness for any particular purpose of any Output. You are solely responsible for reviewing, verifying, and deciding how to use any Output generated by the Service. AI-generated content should not be relied upon as legal, financial, medical, or other professional advice.
5.5 Similarity of Outputs. Due to the nature of AI systems, other users may receive similar or identical Outputs from similar Inputs. We do not guarantee the uniqueness of any Output.
6. Intellectual Property
6.1 Service IP. The Service, including its design, architecture, user interface, documentation, and underlying technology, is owned by First Strategy, LLC and is protected by applicable intellectual property laws. These Terms do not grant you any right to use our trademarks, trade names, logos, or other brand features.
6.2 Feedback. If you provide suggestions, ideas, or feedback about the Service, we may use them without obligation to you.
7. Payment and Billing
7.1 Plans and Pricing. The Service offers subscription plans and usage-based billing. Current pricing is published on our website and may change with 30 days' notice to existing subscribers.
7.2 Subscription Billing. Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan). Payment is processed through Stripe, Inc. By subscribing, you authorize us to charge your payment method on each billing cycle.
7.3 Usage-Based Charges. Certain features are billed based on usage (for example, AI processing consumption). Usage charges are calculated and billed at the end of each billing cycle or when a prepaid balance is exhausted, whichever comes first.
7.4 Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused subscription time within a billing period.
7.5 Prepaid Credits. Unused prepaid credits remain available until the end of your current billing period. After that period expires, any remaining credits are forfeited and are not refundable. Credits have no cash value and may not be transferred to another account.
7.6 Failed Payments. If a payment fails, we may retry the charge and suspend your access to paid features until payment is resolved.
8. Service Availability
The Service is provided on a commercially reasonable efforts basis. We do not offer a Service Level Agreement (SLA) or guarantee any specific level of uptime or availability. We may perform maintenance, updates, or modifications to the Service that result in temporary interruptions. We will endeavor to provide advance notice of planned maintenance when practicable.
9. Data and Privacy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Service, you consent to the data practices described in the Privacy Policy.
You are responsible for ensuring that any data you submit to the Service complies with applicable data protection laws and does not include data you are not authorized to process.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) IN NO EVENT SHALL FIRST STRATEGY, LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
(b) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (II) ONE HUNDRED DOLLARS ($100).
(c) THESE LIMITATIONS APPLY EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY AI-GENERATED CONTENT.
12. Indemnification
You agree to indemnify, defend, and hold harmless First Strategy, LLC and its officers, directors, members, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) content you submit to the Service.
13. Termination
13.1 By You. You may terminate your account at any time by contacting us or using the account deletion feature in the Service.
13.2 By Us. We may suspend or terminate your access to the Service immediately, without prior notice, if: (a) you breach these Terms; (b) we are required to do so by law; (c) we discontinue the Service; or (d) your account has been inactive for an extended period.
13.3 Effect of Termination. Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete your data after a reasonable retention period as described in our Privacy Policy; (c) provisions that by their nature should survive termination will survive, including Sections 5 (AI-Generated Content), 6 (Intellectual Property), 10 (Limitation of Liability), 11 (Disclaimer of Warranties), 12 (Indemnification), and 14 (Dispute Resolution).
14. Dispute Resolution
14.1 Governing Law. These Terms are governed by the laws of the State of Colorado, without regard to its conflict of laws provisions.
14.2 Mandatory Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. Arbitration shall take place in Denver, Colorado, before a single arbitrator.
14.3 Class Action Waiver. YOU AND FIRST STRATEGY, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
14.4 Small Claims Exception. Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within that court's jurisdiction.
14.5 Injunctive Relief. Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
15. Changes to Terms
We may modify these Terms at any time. We will provide at least 30 days' notice of material changes by email or through the Service. Your continued use of the Service after the effective date of the modified Terms constitutes acceptance. If you do not agree to the modified Terms, you must stop using the Service and close your account.
16. General Provisions
16.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and First Strategy, LLC regarding the Service.
16.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
16.3 Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
16.4 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
16.5 Force Majeure. We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
